Payments and Licenses.

In order to protect the legitimate rights and interests of buyers and sellers, Mybigorder Kenya Ltd has published the following rules for settlement and payment releasing:

(a) Mybigorder Kenya currently offers weekly settlement for all the sellers. It will be agreed by Sellers and Mybigorder Kenya Ltd that due to exceptional situations, Platform may offer daily settlement mechanisms considering sales volume, marketing budget contributed and offers given.

(b) The settlement report will be done on Tuesday of the following week (After payment). Sellers are required to confirm on the settlement report either in Email or other written methods, by which Mybigorder Kenya Ltd is going to release the settlement amount.

(c) The company, under the following circumstances, reserves the right to, suspend or delay the settlement:  The seller account is closed, suspended due to the reason that Seller materially breached Mybigorder Kenya Ltd policy.

(d) Mybigorder Kenya Ltd will only settle the amount of the orders which show "Completed" status during the settlement period in the Seller back end also the refund/return amount occurred during the settlement period will be deducted from the settlement amount.

(e) Mybigorder Kenya Ltd will do bank and/or mobile transfer for the settlement. Therefore, Merchant is required to provide the relevant account details in Mybigorder Kenya Ltd system or attach hard copy with the merchant Agreement.

(f) Transactional charges during the transfers are a responsibility of the Merchant.

Price and Delivery of the Products/Services.

The price of the Products/Services shall be as specified in Mybigorder Kenya Ltd website or App, and may be amended by mutual agreement.

Title to the Products, the risk of loss or damage to the Products, and the duty to insure, shall pass to Buyer when the Products have been delivered to the agreed location/premises and receipt given out to the buyer, or when the Products have been packed for pick up and paid by the buyer.

Quality of Goods/Services.

Quality of products is the responsibility of the Merchants. A merchant should ensure the product is of good quality as displayed on the website. Misrepresentation and misinformation may lead to product returns which in some cases may lead to penalties.

Deliveries and Drivers

Though we provide the interface for the deliveries and a pool of drivers for the merchants through our partners, any disagreements and disputes arising from the role of drivers recruited by merchants are solely a responsibility of the merchants and deliveries through our delivery partners are based on the terms of the delivery partners chosen by the customers.

Our partner's drivers when used, are solely the responsibility of the delivery partners. Any damages, theft, calamities arising from the driver’s end are solely based on the Delivery Partners policy.

Arbitration

Differences between merchants and customers will be discussed internally in the presence of the Parties involved in a bid to find a solution.

Any disputes, controversies, or differences arising out of the implementation, interpretation, performance of these Terms and Conditions and cannot be solved by our teams, shall be finally settled through arbitration by a single arbitrator to be appointed in accordance with the rules of Chartered Institute of Arbitrators.

The arbitrator shall be a person who is legally trained and who has experience in the information technology field and is independent of either party. The venue of the arbitration shall be Nairobi. The language used in the arbitration proceedings shall be English or Kiswahili. The award of the arbitrator shall be final and binding and may be entered in any court of competent jurisdiction and enforced in accordance with the Arbitration Act. Notwithstanding the foregoing, the Site reserves the right to pursue the protection of intellectual property rights and confidential information through injunctive or other equitable relief through competent courts.

Termination

In addition to any other legal or equitable remedies, we may, without prior notice to you, immediately terminate the Terms and Conditions or revoke any or all of your rights granted under the Terms and Conditions.

Upon any termination of this Agreement, you shall immediately cease all access to and use of the Site and we shall, in addition to any other legal or equitable remedies, immediately revoke all password(s) and account identification issued to you and deny your access to and use of this Site in whole or in part.

Any termination of this agreement shall not affect the respective rights and obligations (including without limitation, payment obligations) of the parties arising before the date of termination. You furthermore agree that the Site shall not be liable to you or to any other person as a result of any such suspension or termination.

If you are dissatisfied with the Site or with any terms, conditions, rules, policies, guidelines, or practices of Mybigorder Kenya Ltd in operating the Site, your sole, and exclusive remedy is to discontinue using the Site.

Governing Law.

The validity, construction, and performance of this Agreement shall be governed by and interpreted in accordance with the laws of the Republic of Kenya

Customer Information

All information that a Customer provides for the purpose of processing an order shall be treated confidentially. We shall not share Customer Information with any unauthorized persons. We may share Customer information with our business partners who assist in the delivery or any other services that is pertinent to the processing of the Customer’s order.

Notice and Other Communications.

Except as either party may hereinafter notify the other party in writing with respect to itself, the addresses of the parties for the purpose of this Agreement shall be:

Entire Agreement and Modification

This Agreement constitutes the entire understanding of the parties relating to the subject hereof and supersedes all other previous agreements and understandings, whether written or oral. This Agreement may be amended or modified only in writing signed by the duly authorized representatives of the respective parties. IN WITNESS WHEREOF, each party hereto has caused this Agreement to be executed in duplicate in English, as of the date first above written, by its duly authorized representative

Proprietary Information

Proprietary information exchanged hereunder shall be treated as confidential for both parties. This information shall include, but not be limited to, the provisions of this Agreement, product and services information, and pricing. Client further agrees to not decompose, disassemble, decode or reverse engineer any Company program, code or technology delivered to Client or any portion thereof.

Warranties

 

Merchant to give warranty of service offered to be of satisfactory quality. All products are covered by warranties against manufacturing faults and defects. All warranties are subject to warranty terms and conditions by the Merchant.

 

Liabilities

The merchant indemnifies Mybigorder Kenya Ltd from all claims arising in relation to matters outside Mybigorder Kenya Ltd‘s control, including but not limited to the quality of goods and services provided by the merchant. The merchant further indemnifies Mybigorder Kenya Ltd from third parties' claims resulting from any violation of laws and regulations by the merchant.

Mybigorder Kenya Ltd cannot guarantee that its service will be free from all malfunctions, but will exercise all reasonable care and skill to resolve any such case.

VAT liability rests with the merchant and Mybigorder Kenya Ltd will not be responsible for any VAT issues.

 

Trademarks and Copyrighted Material

 

All the information including and not limited to trademarks, names, logos, images and text displayed on the Website under the merchant account is the property of Merchant. Nothing including and not limited to the above-mentioned items contained on the website should be copied, reproduced or manipulated without the prior written permission of the Merchant and Mybigorder Kenya Ltd.

 

Transfer of Agreement

Merchant may not assign or transfer this Agreement, in whole or in part without the prior written consent of Mybigorder Kenya Ltd.  In the event that Merchant contemplates whole or partial sale of its business, ownership change, or change in jurisdiction, Merchant shall notify Mybigorder Kenya Ltd by mail no less than 30 days prior to the effective date of the event.

Pricing

Merchant can choose which options they prefer. Merchants are free to choose the options and change their options based on a monthly cycle.

 1.      Commission Plan (Products): Signup is FREE for products but may be charged for services in the future.

Vendors create their accounts and start selling on the platform.  The merchant agrees to pay Mybigorder Kenya Ltd a fixed percentage commission on the gross revenue from their sales made through the platform.

Depending on the category it may be appropriate to agree to different commission percentages for certain items or product categories. Mybigorder Kenya Ltd may start charging additional fees for the sale of goods through the platform at any point. These may include but are not limited to, listing fees, multiple photos fees, and enhanced marketing fees.

In the event of the introduction of further fees, the merchant will be notified prior to their commencement in writing and they will have the option to opt-out. Mybigorder Kenya Ltd reserves the right to adjust the percentage commission, providing suitable notice is served in advance to the merchant.

Mybigorder Kenya Ltd will give the merchant adequate notice of any commission changes, in writing. This does not cover adjustments that constitute a material change of the contract terms, which would require an additional agreement on the change.

2.     Reseller / Partner Plan

We resell your services. The merchant will give us the prices of their products, we put a markup on them and resell. In this plan the vendor losses all branding and doesn’t have access to customer contacts. The Merchant agrees that the rates are based on promotions and revisions on the website at the time of signing and will always be revised and readjusted where necessary. Either way, merchants will always be advised prior.

Terms:

All Payments will be billed and paid to the Merchant based on the plan they have chosen.

All Materials provided for uploading in this website belong to the Merchant. This includes all images and text used on the website(s).

Merchants who would like help to upload their products may have this done at a FEE of Kshs. 50 per product.

All passwords used in the merchant account are a property of the merchant and access should be provided for the merchant to manage and monitor the progress and details of their accounts.

Merchant Involvement and Expectations:

MYBIGORDER KENYA LTD cannot be on the merchants’ premises daily or know information that is going on within the company or control the access levels of the client account. Therefore, the partner agrees to:

1)   Email MYBIGORDER KENYA LTD any information they would like to be assisted with in relation to managing their account and products.

2)    Email support related Requests.

3)     Attend training on the full account dashboard also available here.
